Please read these Wallet Terms and Conditions (these “Wallet Terms”) carefully. They constitute a legal agreement between you and Grass and govern your access to and use of the non-custodial wallet application provided by Grass and its licensors (the “Wallet”) via grass.io (the “Website”). By accessing or using the Wallet or the functionality or services that are provided through or as part of the Wallet, namely (i) storing digital assets on your own device, (ii) linking to the products, platforms, services, software, blockchain networks, systems and protocols, websites, content, resources, features, widgets, extensions, or functionality provided by one or more third parties, including MoonPay, Jupiter, and Turnkey (collectively, “Third Party Services”), and (iii) viewing addresses and information that are part of digital asset networks and broadcast transactions (collectively, the “Wallet Services”), you confirm your agreement to accept and be bound by these Wallet Terms, as these Wallet Terms and the General Terms may be amended from time to time, in relation to your entire relationship with Grass regarding your access to and use of the Wallet and Wallet Services. If you do not agree to accept and be bound by these Wallet Terms and the General Terms, then you are not permitted to access or use the Wallet or the Wallet Services.

The Third Party Services, including the functionality provided by MoonPay and Jupiter to swap and off-ramp your digital assets is linked via the Wallet as a convenience to users only. All swap and off-ramp functionality is powered by these third parties and Grass does not operate, control, maintain, or take responsibility for such functionality or related transactions. For clarity, Grass’s role is limited to presenting the availability of the functionality to users as a convenience and Grass does not execute, settle, or intermediate any transaction initiated or completed via the Third Party Services as a counterparty, broker, dealer, exchange, or custodian. Grass does not promote, solicit, market, or otherwise encourage its users to engage in any transaction involving the digital assets held in their Wallet and any such transactions are to be made based on your own independent judgment and discretion. Since such transactions do not take place on the Grass Website or via the Grass Services, you will be required to engage in these transactions pursuant to the terms and conditions that apply to your use of the Third Party Services, and are responsible for taking all necessary steps to comply with such terms and conditions. We strongly recommend that you read all terms and conditions that apply to your use of the Third Party Services, as made available to you by Turnkey, MoonPay and Jupiter. You acknowledge that you have read, understood, and agreed to these Wallet Terms and the General Terms in their entirety. Your access to and use of the Wallet and Wallet Services is at your own risk, and it is your sole responsibility to seek appropriate professional, legal, tax, and other advice in respect of your access to and use of the Wallet, Wallet Services, and the Third Party Services. You further agree that you have read and understood the various requirements, acknowledgments, legal limitations, and risk factors set out in these Wallet Terms and the General Terms. Grass has not and does not provide any investment, financial, legal, tax, or other advice or recommendation with respect to your access to or use of the Wallet, Wallet Services, or any Third Party Services, including, without limitation any decision to stake, hold, claim, deposit, withdraw, swap, or otherwise transact with the digital assets that you may have from time to time in your Wallet.

Grass is not a Virtual Asset Service Provider within the meaning of the Virtual Assets Service Providers Act, 2022 of the British Virgin Islands as it does not custody virtual assets, execute transactions on behalf of users, or facilitate order matching.

1. Introduction

Grass OpCo Ltd. (“Grass”, “we”, “us”, and “our”), a subsidiary of Grass Foundation, operates and provides the Wallet and Wallet Services with the support of its licensors. These Wallet Terms govern your access to and use of the Wallet and the Wallet Services. These Wallet Terms are supplemental to, and incorporate by reference, Grass’s General Terms and Conditions available here (the “General Terms”) and Privacy Policy here (the “Privacy Policy”). The General Terms and Privacy Policy also apply to your access to and use of the Wallet and the Wallet Services. In the event of a conflict between a term or condition in the General Terms and these Wallet Terms, the term or condition in the Wallet Terms will prevail.

You expressly acknowledge and agree that you assume all risks related to your use of the Wallet and the Wallet Services, including in connection with your staking of Grass Tokens as part of the Grass Staking Program (the “Staking Program”) or your participation in a Distribution as part of the Grass Rewards Program (the “Rewards Program”). In no event will Grass, its affiliates, or any of their respective officers, directors, representatives, personnel, contractors, vendors, suppliers, service providers, licensees, successors, or assigns (collectively, the “Grass Parties”) be liable in connection with or for any claims, losses, damages, costs, penalties, fines, judgments, taxes, expenses, or other liabilities (collectively, “Losses”) arising out of or in connection with your access to or use of the Wallet, Wallet Services, or any Third Party Services, including your decision to stake, hold, claim, deposit, withdraw, swap, or otherwise transact with your digital assets using the Wallet, Wallet Services, or Third Party Services.

If a person that accepts these Wallet Terms does not have the authority, or does not agree with and accept to be bound by these Wallet Terms, that person must not accept these Wallet Terms and may not access or use the Wallet or the Wallet Services.

Capitalized terms used in these Wallet Terms that are not defined in these Wallet Terms will have the meaning afforded to them in the General Terms, the Grass Staking Program Terms, and the Grass Rewards Program Terms and Conditions (the “Rewards Program Terms”), as applicable.

2. Account; Access and Use of the Wallet and Wallet Services

To be eligible to access and use the Wallet and Wallet Services, you must meet and fulfill the eligibility criteria set out in the General Terms, including as set out in Section 2 and Section 3 of the General Terms. For clarity, Restricted Persons and Minors (each as defined in the General Terms) are not permitted to access or use the Wallet or Wallet Services.

3. No Custody of Your Digital Assets

Grass operates the Wallet and provides the Wallet Services as non-custodial services. This means that Grass does not have access to the security key, private keys or seed phrase that permits you to access your digital assets. You are solely responsible for safeguarding this information. Loss of this information will result in the permanent loss of access to your assets. Grass is not able to take custody of your Grass Tokens, USDC or other digital assets that you choose to hold in your Wallet, including any Grass Tokens or USDC that you have claimed or received in connection with a Distribution or received as rewards in connection with your participation in the Grass Rewards Program or Grass Staking Program, as applicable. You acknowledge and agree that you are responsible for safeguarding the security key that controls access to your digital assets.

4. Third Party Services

When you use the Wallet and the Wallet Services, you may also be using Third Party Services, including those of MoonPay, Jupiter, and Turnkey. You access to and use of Third Party Services may be subject to additional terms and conditions, privacy policies, and other agreements with such third party (collectively, the “Third Party Terms”), and you may be required to create additional accounts or complete authentication processes with such third party, including via their websites or the platforms of their service providers. For example, if you use the deposit, withdraw, or swap functionality provided through the Wallet, you will be utilizing the services of a third party (e.g., MoonPay and Jupiter) to process these transactions, as well as the functionality of other third parties that support their provision of their services, such as exchanges or other sources of liquidity provided by third parties. Deposits and withdrawals are processed by MoonPay. Swaps are processed using Jupiter’s services. MoonPay’s terms of use can be found here. Jupiter’s terms of use can be found here. Turnkey’s terms of service can be found here. If you do not agree to accept and be bound by the Third Party Terms that are applicable to the Third Party Services that you wish to use, you will not be permitted to access or use such Third Party Services.

When you use Third Party Services, you are not transferring your digital assets or private keys to Grass. Access to the Third Party Services is provided to you only as a convenience and we do not have control over the Third Party Services or their content, do not endorse the Third Party Services, and are not responsible for the availability or legitimacy of the Third Party Services (including, any related website, resource, content, or links) or the third parties that own or operate the Third Party Services. All dealings that you have with third parties when accessing or using the Third Party Services are solely between you and such third party. We do not make any representations or warranties, express or implied, about the Third Party Services, the third parties that own and operate the Third Party Services, or the information contained on or available through any Third Party Services. Grass does not act as an agent, intermediary, promoter, or broker between you and any Third Party Services, and does not make any representation regarding the suitability, legality, or performance of such services. You acknowledge and agree that you are solely responsible and assume all risk arising from your use of any Third Party Services, including any information contained on or available through the Third Party Services.

Some Third Party Services may provide us with access to certain information that you have provided to third parties, including through such Third Party Services. To the extent that such information constitutes personal information or personal data under applicable law, we will collect, use, disclose, and otherwise process any such information in accordance with our Privacy Policy.

Grass has not control over and is not responsible for any Third Party Services, including for the accuracy, availability, reliability, verification, or completeness of information shared or made available through any Third Party Services. Grass is not responsible for the privacy practices of Third Party Services. Grass recommends that you review all applicable Third Party Terms prior to using any Third Party Services.

5. Fees

You will pay all fees necessary for interacting with the Solana blockchain, or any other network with which the Wallet, Wallet Services, or Third Party Services are used to transact with your digital assets, including “gas” costs, as well as fees charged by third parties for use of the Third Party Services. A transaction that is presented as a “gasless” transaction may still require you to pay a fee to process the transaction. For clarity, you understand and agree that certain third party providers of the Third Party Services, including MoonPay, Jupiter, and Turnkey may charge and earn fees associated with the Third Party Services that they provide. These fees may change at any time without prior notice to you.

We and our third party service providers will endeavor to provide accurate estimates of applicable fees; however, any fees quoted are estimates and may vary from the fees actually paid or payable to use the Wallet, Wallet Services, or the Third Party Services, including in connection with interactions with the Solana blockchain or any other network required to perform or provide the applicable service or functionality. For example, swap rates and prices for digital assets on third party exchanges are estimates only and may change at any time. As a result, swap rates and prices for digital assets are estimates only and may be inaccurate. The Grass Parties will not be held responsible or liable for, and you hereby forever release and discharge the Grass Parties from, any losses, damages, or other liabilities arising from an inaccurate or incomplete estimate of fees provided in connection with any use of the Wallet, Wallet Services, or Third Party Services.

You understand and acknowledge that to improve your experience in using the Wallet, Wallet Services, and Third Party Services, Grass has entered into arrangements with one or more third parties who may share the fees they earn from these arrangements with Grass, including where such third party has been provided with the opportunity to support and process the transactions you entered into using their Third Party Services. Grass may receive fees from the third party service providers that provide the Third Party Services.

6. Representations and Warranties

By accessing or using the Wallet, Wallet Services, or Third Party Services or engaging in any transaction involving digital assets using the Wallet, Wallet Services, or Third Party Services, you represent, warrant, and covenant as follows:

• Right to Transact. Any funds and digital assets you transact with using the Wallet, Wallet Services, or Third Party Services have been legally obtained by you, belong to you (free and clear of any lien, demand, claim, security interest, or other encumbrance), and you are authorized to carry out all such transactions using such funds and digital assets.

• No Proceeds of Crime; No Tax Evasion. You will not use the Wallet, Wallet Services, or any Third Party Services to transact with, transmit, or exchange funds or digital assets (a) that are the direct or indirect proceeds of any criminal, fraudulent, or unlawful activity; or (b) for the purpose or with the effect of avoiding or evading taxes in any jurisdiction.

• Fees. You will pay all fees required for interacting with the blockchain and other networks, including “gas” costs, as well as all fees charged by providers of the Third Party Services.

• Compliance with Law. You will comply with all applicable laws in connection with your access to and use of the Wallet, Wallet Services, and Third Party Services as well as any transactions involving your funds or digital assets, including all applicable export control and sanctions laws.

7. Acknowledgments of Risks; Disclaimers; Assumption of Risk

In addition to the risk factors outlined in our General Terms and the Rewards Program Terms, using the Wallet, Wallet Services, and Third Party Services involves certain additional risks, including those set forth in this Section 7. You are responsible for conducting your own due diligence before accessing or using the Wallet, Wallet Services, or any Third Party Services. By accessing or using the Wallet, Wallet Services, or any Third Party Services, you acknowledge and accept the risks and the consequences thereof, including the following:

• No Investment Advice. Grass does not provide investment, financial, legal, tax, or other professional advice or recommendations. You are solely responsible for deciding whether to engage in any transaction involving digital assets. Grass is not acting as an investment manager, adviser, finder, introducer, broker, dealer, virtual asset service provider, or commodity trading advisor to you or any other person or entity.

• Control of Your Digital Assets. You have complete control and responsibility for your digital assets, and Grass will not be liable for any decisions or actions you take, or fail to take, in connection with your digital assets. Grass does not issue, buy, sell, transfer, or custody digital assets and does not facilitate or make any recommendations related to, whether directly or indirectly, the issuance, purchase, or sale of any digital assets.

• Transactions. You acknowledge and understand that the provision of estimates, quotes, swap rates, and prices available on Third Party Services, including via third party exchanges, does not constitute an investment recommendation, investment advice, an offer to buy or sell digital assets, or a solicitation to participate in a digital asset transaction by Grass. You are solely responsible for deciding whether to enter into a transaction and whether your transaction will be executed with a third party. Grass does not execute transactions, including trades or swaps, on your behalf or facilitate the execution or settlement of your transactions, which occurs entirely through the use of Third Party Services on a peer-to-peer basis.

• Volatility. The markets for digital assets are highly volatile due to a range of factors, including adoption, speculation, technology, security, and regulation. The digital assets you transfer, swap, exchange, or acquire, including through the use of one or more Third Party Services, may lose some or all of their value and you may suffer loss due to fluctuation of prices of tokens and/or significant price slippage and cost. Grass is not responsible for any of these variables or risks.

• Governmental Action. The Wallet, Wallet Services, Third Party Services, and your digital assets could be subject to or impacted by one or more government or regulatory inquiries, investigations, or actions, that could impede or limit your ability to access or use the Wallet, Wallet Services, Third Party Services, or your digital assets. No governmental authority or agency has reviewed and approved the use of the Wallet or Wallet Services.

• Authentication Credentials. You understand that your private key, seed phrase, and other Authentication Credentials must be maintained securely by you at all times and that Grass will neither store a copy of nor be able to recover your private key or seed phrase if it is lost to you. You understand that sharing or publicly storing either your private key or seed phrase may increase your risk of loss or theft of your Wallet and/or any digital assets you may store in your Wallet. You are responsible for securing your Authentication Credentials. Grass does not have access to your Wallet and may not be able to help you get back into your Wallet or reset your Authentication Credentials. If you lock yourself out of your account, we cannot help you get back into your account. Losing control of your Authentication Credentials will permanently and irreversibly deny you access to digital assets on the blockchain-based network, and it is possible that you may lose access to your account and private key information forever. If this occurs, then you will not be able to realize any value or utility from the digital assets that you may hold.

• Role of Grass. Grass is not a broker, dealer, promoter, or arranger. Grass is not a financial institution. Grass does not operate a digital asset exchange platform or offer trade execution or clearing services. Grass has no oversight, involvement, or control concerning the transactions you choose to conduct with your digital assets using the Wallet, Wallet Services, or Third Party Services. All transactions using the software provided or made available by Grass are initiated and signed by users and are processed on a peer-to-peer basis directly between the users’ network addresses via smart contracts. You acknowledge and understand that Grass is not a money transmitter or money services business subject to the anti-money laundering program requirements under the Bank Secrecy Act, 31 U.S.C. §5311 et seq., or under the laws of any state or territory or any foreign jurisdiction.

• Compliance with Laws. You are responsible for complying with all applicable laws relating to your access to and use of the Wallet, Wallet Services, Third Party Services and your digital assets, including the Commodity Exchange Act and the regulations promulgated thereunder by the United States Commodity Futures Trading Commission (“CFTC”), the securities laws and regulations promulgated by the United States Securities and Exchange Commission (“SEC”), and all other domestic and foreign laws that apply to you and your transactions involving digital assets. Grass is not registered or licensed by the CFTC, SEC, or any other financial regulatory authority (whether in the United States or elsewhere). The Grass Parties must comply with applicable laws, which may require the Grass Parties to, upon request by government agencies, take certain actions or provide information, which may not be in your best interests.

• No Protection. You acknowledge and understand that your digital assets are not subject to protections or insurance provided by the Federal Deposit Insurance Corporation or the Securities Investor Protection Corporation.

• Blockchain Networks and Protocols; Solana Network. The Wallet, Wallet Services, and Third Party Services are reliant upon the blockchain networks and protocols, including the Solana Network. Grass does not make any representations or warranty that any blockchain networks or protocols, including the Solana Network, will be available or functional or that any blockchain network or protocol will operate free from interruptions, delays, defects, or errors that could delay, hinder, or prevent the processing of transactions or messages to or on any blockchain network or protocol, including the Solana Network. Blockchain networks and protocols, including the Solana Network, are also subject to increased risk as a result of the potential misuse of public/private key cryptography. You acknowledge and accept the risk using blockchain networks and protocols, including the Solana Network, and agree that Grass is not responsible or liable for any loss of value or missed opportunities that you may experience as a result of your use of any blockchain network or protocol, including the Solana Network.

• Private Keys. Blockchain networks use public/private key cryptography. Encrypted forms of private keys are stored on the servers of Grass’s service provider, Turnkey Global, Inc. (“Turnkey”), however, neither Grass nor Turnkey, have access to raw private keys. Turnkey has access to encrypted private key data only and only you may access raw private keys. None of Turnkey, Grass, or any other person (other than you) will be able to unilaterally retrieve or move the digital assets controlled by the private keys associated with your Wallet. Grass and Turnkey are not responsible for any activities that you engage in when you use your private keys. You are responsible for any and all transactions, including signature requests, that are initiated by you or through your Wallet or account, including through the use of your Authentication Credentials. Grass makes no, and hereby disclaims all, representations, warranties, claims, and assurances with respect to any transaction you initiate, including any signature requests.

• Unsupported Blockchain Networks and Encryption Formats. The services provided by Grass and Turnkey may not support encryption formats necessary for private key generation for certain blockchain networks. Under no circumstances should you attempt to use the Wallet or Wallet Services to store, send, request, or receive any assets on blockchain networks and/or curve encryption formats that are not supported by the Wallet or Wallet Services. Grass and Turnkey assume no responsibility in connection with any attempt to use the Wallet or Wallet Services with blockchain networks and/or curve encryption formats that are not supported. You acknowledge and agree that Grass and Turnkey are not liable for any digital asset that is sent to the Wallet on an unsupported blockchain network or curve encryption format.

• Export of Private Keys. Grass and its service providers, including Turnkey, have no obligation or responsibility with respect to any private keys (including, no obligation or responsibility to process signature requests) after the termination of your right to access or use the Wallet, other than to make available key export functionality. You are solely responsible and liable in connection with any exported private key, the associated wallet, and the digital assets contained therein. If you choose to export private keys you (a) must do so strictly in accordance with the instructions provided to you, including any documentation; and (b) will be solely responsible for the security of the exported private key and Authentication Credentials related to private keys stored on the platform of your choosing, the associated wallet, and the digital assets contained therein.

• Continued Development. You understand and agree that the Wallet, Wallet Services, and Third Party Services are and will remain under continuous development, which creates technological, and other risks when accessing or using the Wallet, Wallet Services, and Third Party Services. These risks include delays in signing signature requests or retrieving private key data resulting from the servers of our service providers being offline; or an incorrect display of information in the case of server errors. These risks may have a material impact on your use of the Wallet, Wallet Services, and Third Party Services, which may result in your failing to fulfill transactions at your desired price or at all.

• Additional Risk Factors of Third Party Service Providers. We recommend that you review the disclaimers and risk factors that are identified in terms of use of Third Party Service Providers prior to using their services. You agree that you assume all risks in connection with your access to and use of the Wallet, Wallet Services, Third Party Services, and your transactions involving digital assets. You hereby waive, release, and discharge the Grass Parties from and against any and all losses, damages, liability, claims, actions, demands, penalties, and other costs arising from, in connection with, or relating to your access to or use of the Wallet, Wallet Services, Third Party Services, or your transactions involving digital assets.

8. Termination; Cancellation.

Grass may terminate your access to or use of the Wallet, Wallet Services, and Third Party Services, in our sole discretion, at any time and without notice to you, including by terminating your account. When your account is terminated, your access to your Wallet will also be terminated and you will not be able to access the Wallet via the Grass Services.

If you elect to terminate or delete your account with Grass, your Wallet (and access to your Wallet via the Grass Services) will also be permanently deleted. Prior to the deletion of your account, we recommend that you export your Wallet in order to maintain access to the digital assets that are stored in your Wallet. Instructions on how to export your Wallet are made available on your Grass Dashboard. You are able to export your Wallet at any time prior to your deletion or termination of your account with Grass.

You acknowledge, agree, and confirm that if you delete or terminate your account with Grass and have not taken the necessary and proper steps to export your Wallet, you are solely responsible and liable for the loss of any digital assets that held in such Wallet.

9. Indemnification

Without limiting any terms in the General Terms, including your indemnification obligations under Section 11 of the General Terms, to the extent permitted by applicable law, you agree that you shall indemnify, defend, and hold the Grass Parties harmless from and against any and all Losses incurred by Grass Parties (or any of them) arising out of or in connection with: (i) your access to and use of the Wallet, Wallet Services, and Third Party Services, including your claiming, receipt, deposit, withdrawal, swap, or other transaction involving currency or digital assets, including Grass Tokens; (ii) your breach of these Wallet Terms or the General Terms, or (iii) your violation of any applicable law, regulation, or rights of any third party.

If you are obligated to indemnify the Grass Parties (or any of them), you agree that Grass (or its designee) will have the right to control any action or proceeding and to determine whether Grass wishes to settle the dispute and on what terms. You agree to fully cooperate with Grass (and its designees) in the response to, defense, and settlement of any such claim.

Your obligations under this Section 9 will survive the expiration or termination of these Wallet Terms.

10. Limitation of Liability

Grass is not liable for any indirect or consequential damages, even if foreseeable. Grass’s liability is limited to the gas and network fees paid by users.

To the maximum extent permitted by law, Grass and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, lost profits, business interruption, loss of data, or other intangible losses, arising out of or related to your use of the Wallet, Wallet Services, or Third Party Services provided or made accessible, even if advised of the possibility of such damages arising from any access to or use of the Wallet, Wallet Terms, or Third Party Services, or these Wallet Terms.

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory. The limitations and exclusions in this section are in addition to those outlined in Section 10 of the General Terms, which are incorporated herein by reference.

11. Governing Law; Dispute Resolution

These Wallet Terms (and any Dispute arising under or in connection with these Wallet Terms) shall be governed by and construed in accordance with, in all respects including as to their validity, interpretation and effect, the laws of the British Virgin Islands, without giving effect to its principles or rules of conflict of laws to the extent such principles or rules are not mandatorily applicable by statute and would permit or require the application of the laws of another jurisdiction.

Subject to the below, in relation to any dispute, controversy, or claim arising out of, relating to or in connection with these Wallet Terms, including with respect to the formation, applicability, breach, failure to pay, termination, validity, or enforceability thereof (each, a “Dispute”), shall be resolved via binding arbitration under the rules of the British Virgin Islands International Arbitration Centre (BVI IAC) seated in the British Virgin Islands.

Notwithstanding any other provision of these Terms, you agree that we have the right to apply for injunctive remedies (or an equivalent type of urgent relief) in any jurisdiction.

12. No Waiver

No waiver of satisfaction of a condition or non-performance of an obligation under these Wallet Terms is effective unless it is in writing and signed by the party granting the waiver or that party’s authorized representative. Unless expressly granted in writing and signed by the party granting the waiver or that party’s authorized representative, no waiver will extend to any subsequent non-satisfaction of a condition or non-performance of an obligation under these Wallet Terms, whether or not of the same or similar nature to that which was waived. No waiver will affect the exercise of any other rights or remedies under these Wallet Terms. Any failure or delay in exercising any right or remedy will not constitute, or be deemed to constitute, a waiver of that right or remedy. No single or partial exercise of any right or remedy will affect further exercise of any right or remedy.

13. Entire Agreement

These Wallet Terms, including the General Terms and Privacy Policy, and any separate written agreement between you and Grass, constitute the entire agreement between you and Grass with respect to the subject matter of these Wallet Terms. There are no representations, covenants, or other terms other than those set out under these Wallet Terms. The Wallet Terms supersede any previous discussions, understandings, or agreements, between the parties relating to the subject matter of these Wallet Terms.

14. Severability

If any provision of these Wallet Terms is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Wallet Terms and will not affect the validity and enforceability of any remaining provisions.

15. Assignment

You may not assign, transfer, sublicense, or convey these Wallet Terms, including any rights granted by Grass and obligations assumed by you, except with Grass’s prior written consent. We may assign, transfer, sublicense, or convey these Terms, and our rights and obligations under them, to any third party without notice to you.

16. Contact Information
